Mergers & acquisitions.
Advice for owners selling a company and for buyers making an acquisition, from preparation to signature.

Price is set by preparation.
By the time offers arrive, most of what decides the price has already happened: how the company was prepared, who was invited, and how the process was paced.
We put the work in early. Buyers see a company that is ready, a story that holds up, and real competition from other bidders.
For acquirers, the discipline runs the other way: a clear thesis, a wide search, and no overpaying.
Our M&A work.
Each engagement is led by a partner from start to finish.

Buy-side
A clear acquisition brief, a search that reaches quiet sellers, and negotiation through signing.
Partial sales
Selling a minority or majority stake while the owner keeps a seat and a share of the future.
Management buyouts
Valuation, financing, and terms for leadership teams buying their own company.
Carve-outs
Separating and selling a division without disrupting the business that stays.
Fairness and valuation
An independent view of value before a sale, a merger, or a shareholder buyout.
Common questions.
How is a sale process actually run?
We prepare the company, approach a selected list of buyers under confidentiality, hold management meetings, collect offers, and negotiate the best one through diligence and signing. Competition is the point of the whole structure.
How many buyers will you approach?
It depends on the company. Sometimes ten well-chosen strategic buyers are right; sometimes it is a hundred private equity firms. Quality of fit matters more than volume.
What is an earnout, and should I accept one?
Part of the price paid later if the business hits agreed targets. It can bridge a gap in value, but it shifts risk to the seller. We negotiate clear targets and protections if one is used.
Can I stay on after the sale?
Often, yes. Many buyers want the owner to stay for a transition, and private equity buyers frequently want owners to keep a stake and stay on. We make sure the role and pay are agreed in writing.
What should I fix before selling?
Usually the financial reporting, customer or supplier concentration, and anything that depends only on the owner. We give you a short, specific list in the first weeks.
